1. Introduction
These Terms and Conditions apply to the provision of bathroom design and consultancy services by HI Bathroom Design & Consultancy Ltd, trading as BathroomDesignUK (“the Company”, “we”, “us” or “our”), to trade customers (“the Client”, “you” or “your”).
By registering for a trade account or instructing us to undertake design work, the Client agrees to these Terms and Conditions.
2. Services Provided
BathroomDesignUK provides professional bathroom design services to independent bathroom showrooms, plumbers' merchants, builders' merchants and other trade businesses.
Our standard design service includes:
• 3D CAD bathroom design images.
• 2D technical layout drawings.
• A product schedule to assist with preparing quotations.
• Reasonable amendments to the original design where required.
• Consideration of the Client's preferred manufacturers and suppliers.
Designs are produced using Virtual Worlds bathroom design software.
3. Trade Accounts and Commitments
There are no minimum order quantities, subscription charges or contractual requirements for ongoing usage.
Clients may use our services as frequently or infrequently as required.
Charges apply only to design work instructed and undertaken.
Registration as a trade customer does not create any obligation to place future design orders.
4. Design Instructions
The Client must provide sufficient information for us to prepare the design, including accurate room measurements, photographs where available, customer requirements and any relevant product preferences.
Design instructions may be submitted using our online design request system, approved design brief forms or by email.
We may request additional information or clarification before commencing work.
The Client remains responsible for ensuring all measurements and information supplied are accurate.
5. Design Turnaround
Our standard target is to complete designs within 24 working hours, with a maximum standard turnaround of two working days following receipt of a complete design brief.
Working days exclude weekends and bank holidays.
Where a design is particularly complex, information is incomplete or circumstances prevent completion within this period, we will advise the Client as soon as reasonably practical.
Turnaround times for amendments will be agreed according to the extent of the changes required.
6. Design Amendments
Reasonable amendments to the original design are included within our standard service.
This may include changes to product selection, finishes or minor adjustments to layouts.
Significant alterations, complete redesigns or changes resulting from substantially revised customer requirements may incur an additional charge.
Any additional charges will be communicated before further work is undertaken.
7. Product Selection and Availability
We aim to incorporate products from the Client's preferred manufacturers and suppliers wherever practical.
Where a requested product is unavailable within our CAD software, we may suggest or use a suitable alternative for illustration purposes.
The Client is responsible for verifying product specifications, dimensions, availability, compatibility and suitability before ordering or supplying products.
Inclusion of a product within a design does not guarantee its availability or suitability for a particular installation.
8. Technical Drawings and Installation
All drawings and dimensions are provided to assist with bathroom planning and quotation preparation.
The Client and appointed installer are responsible for checking all measurements, site conditions, plumbing requirements, electrical arrangements and relevant building regulations before commencing installation.
Our designs do not replace a professional site survey or detailed installation assessment.
BathroomDesignUK is not responsible for installation work carried out by third parties.
9. Design Fees and Payment Terms
Design fees will be charged at the rate agreed with the Client.
Unless otherwise agreed in writing:
• Completed design work will be invoiced at the end of each calendar month.
• Payment is due within seven days of the end-of-month invoice.
• Invoices will be issued electronically to the nominated accounts email address.
• All quoted prices are exclusive of VAT where applicable.
We reserve the right to review pricing, providing advance notice of any changes.
We may suspend further design services where invoices remain overdue.
We reserve the right to claim statutory interest and reasonable recovery costs on overdue commercial payments where permitted by law.
10. Cancellation of Design Instructions
Clients may cancel a design instruction before work has commenced without charge.
Where work has already started, we reserve the right to charge a reasonable proportion of the agreed design fee reflecting the work completed.
Where the design has been completed, the full agreed fee will remain payable.
11. Ownership and Use of Designs
All designs, CAD images, drawings and related materials remain the intellectual property of HI Bathroom Design & Consultancy Ltd unless otherwise agreed in writing.
Once the relevant design fees have been paid, the Client is granted permission to use and share the completed designs with their customers, installers and associated parties for the purposes of quotation, product supply and installation of the relevant project.
Designs must not be commercially resold as standalone design services or reproduced for unrelated projects without our written consent.
12. Confidentiality and Customer Relationships
BathroomDesignUK operates as an independent design support service.
The Client retains ownership of its customer relationships, and we will not directly approach or solicit the Client's customers for unrelated business without prior agreement.
Both parties agree to treat commercially sensitive information received during the working relationship as confidential, except where disclosure is required by law or necessary to provide the agreed services.
13. Data Protection
Both parties agree to comply with applicable UK data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018.
The Client is responsible for ensuring that any personal information supplied to us has been collected and shared lawfully.
Information provided will be used for the administration and delivery of our services in accordance with our Privacy Policy and applicable data protection requirements.
14. Limitation of Liability
BathroomDesignUK will exercise reasonable care and skill in preparing all design work.
The Client acknowledges that designs are prepared using information supplied remotely and that site conditions cannot always be independently verified.
We shall not be liable for errors arising from inaccurate or incomplete measurements, incorrect information, product changes or installation decisions made by others.
Nothing in these Terms and Conditions excludes or restricts liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability which cannot legally be excluded.
Any other limitations of liability shall apply only to the extent permitted by applicable law.
15. Changes to Terms and Conditions
We reserve the right to amend these Terms and Conditions from time to time.
Updated terms will be published on our website and will apply to future instructions following their effective date.
16. Governing Law
These Terms and Conditions shall be governed by the laws of England and Wales.
Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
